Terms of Service

1. General

1.1 These Terms of Service ("Terms") describe your rights and responsibilities as a user of BookArc, a book delivery platform operated by Orpheus Technology Ltd ("BookArc," "we," "us," or "our").

1.2 By using BookArc — whether as an author delivering books or a reader receiving them — you agree to be bound by these Terms. If you do not agree, you must not use the service.

1.3 If you are accessing BookArc on behalf of a company or other legal entity, you represent that you have authority to bind that entity and all users who access the service through your account to these Terms. "You" or "your" includes that entity and its authorized users.

1.4 We may update these Terms from time to time. We will notify you of material changes via email or a notice on our website. If you disagree with the changes, you may cancel your account within ten days of notification. Continued use after that period constitutes acceptance of the revised Terms.

2. The Service

2.1 BookArc enables authors and publishers to deliver books and reading materials directly to their readers. BookArc provides tools for managing book delivery, creating landing pages, tracking reader engagement, and facilitating downloads across a wide range of reading devices and applications.

2.2 BookArc offers both free and paid service tiers. Free tiers have limited functionality. Paid tiers require payment of the applicable subscription fees as specified in your order.

2.3 We may update, modify, or improve BookArc at any time, including changes to features, interfaces, and technical specifications. We will give reasonable advance notice of any changes that materially affect paid services.

2.4 We may offer free trial periods for paid features at our discretion. Trial access may be modified or revoked at any time without notice and does not guarantee the availability of those features in any paid tier.

2.5 We may retain third-party subcontractors and service providers to help deliver the service.

2.6 You must pay the applicable Service Fees for paid tiers as specified in your order and in accordance with its payment terms.

3. Permitted Users

3.1 You must be at least 13 years old to use BookArc, or such greater age as is required to provide consent for personal data processing in your country.

3.2 By using BookArc, you represent and warrant that you have the legal capacity to form a binding contract.

3.3 If we learn that we have collected personal data from a user below the permitted age, we will delete it promptly. To report a suspected violation, please email hello@bookarc.app.

4. Intellectual Property

4.1 You retain full ownership of all content you upload or distribute through BookArc, including books, cover images, author bios, and other materials. BookArc claims no rights over your content.

4.2 We will never access or use your content without your specific permission, except where required by law or to deliver the service (for example, transmitting a book file to a reader's device).

4.3 BookArc owns all intellectual property rights in the BookArc platform, including its software, design, trademarks, and documentation. You may not copy, modify, distribute, or reverse-engineer any part of the BookArc platform without our prior written consent. Unauthorized use requires express written permission.

5. Author Responsibilities

5.1 Authors using BookArc to deliver content to readers are solely responsible for:

5.2 BookArc is a delivery mechanism. Authors and publishers, not BookArc, are responsible for the content they distribute and the audiences they choose to reach.

5.3 Where you use BookArc to collect or process your readers' personal data, you are the data controller and BookArc acts as your processor under the Data Processing Agreement, which forms part of these Terms and includes our published sub-processor list.

6. Acceptable Use

6.1 You agree not to use BookArc to:

6.2 We may remove offending content or immediately suspend or terminate your access to BookArc if we reasonably believe you have violated these rules or if your use poses a risk to the platform, other users, or third parties.

7. Payment and Subscriptions

7.1 Paid features require payment of the applicable subscription fees. Fees are as specified at the time of purchase and are charged in advance for each billing period.

7.2 Unless otherwise stated, subscriptions automatically renew at the end of each billing period. You may cancel auto-renewal at any time through your account settings.

7.3 Fees are non-refundable except where required by applicable law or as otherwise stated in our refund policy.

8. Cancelling Your Account

8.1 You may cancel your BookArc account at any time by contacting us at hello@bookarc.app or through your account settings. We recommend exporting any data you wish to keep before cancelling.

8.2 Upon cancellation, your account and associated content will be marked for deletion within sixty days and permanently deleted after that period.

9. Disclaimer of Warranties

9.1 While we strive to keep BookArc reliable and to be good stewards of your data, the service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 We do not warrant that the service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We do not warrant that every book delivery will successfully reach every intended reader, as delivery depends on factors outside our control such as email filters and device compatibility. You use the service at your own risk.

10. Limitation of Liability

10.1 To the fullest extent permitted by applicable law, BookArc and Orpheus Technology Ltd, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use the service, even if we have been advised of the possibility of such damages.

10.2 This limitation applies whether the claim arises in contract, tort (including negligence), or otherwise. Our total aggregate liability for any claim arising from your use of BookArc shall not exceed the total amount you paid to us in the twelve months immediately preceding the event giving rise to the claim.

10.3 Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability; in such cases, our liability is limited to the greatest extent permitted by applicable law.

11. Indemnification

11.1 You agree to indemnify, defend, and hold harmless BookArc, Orpheus Technology Ltd, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of BookArc; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any content you distribute through BookArc.

11.2 We reserve the right to assume exclusive control of the defense of any matter subject to indemnification, at your expense. This does not relieve you of your indemnity obligations.

12. Right to Modify or Terminate

12.1 We may modify, limit, or terminate BookArc or any part of it at our sole discretion. We do not guarantee that any portion of the service will remain available for any particular period.

13. Governing Law and Jurisdiction

13.1 These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. You agree to bring any claim arising from your use of BookArc exclusively in the courts of England and Wales, and you submit to the personal jurisdiction of those courts.

14. General

14.1 Any cause of action arising from your use of BookArc must be commenced within one year of the event giving rise to that cause of action, or it shall be permanently barred.

14.2 These Terms constitute the entire agreement between you and BookArc with respect to their subject matter and supersede all prior communications, agreements, and proposals. A waiver by us of any right or provision under these Terms is only effective if made in writing and signed by an authorized representative of BookArc.

14.3 If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

14.4 You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.

14.5 Automated querying of BookArc is strictly prohibited except via documented BookArc APIs. Non-compliance may result in permanent access termination.
